Abstract

Fusionen mellan Arla och MD Foods är "Fusionen som ingen har prövat förut" har Jens Bigum verkställande direktör i Arla Foods som överskrift på sin VD-berättelse i årsredovisningen år 2000. I samband med fusionen bildades världens största mejerikooperativa företag.
Det har tidigare inte gjorts någon djupare analys av fusionen mellan Arla och MD Foods. Transnationella fusioner mellan två företag hyllas ofta som en lösning. Fördelar i samband med en fusion kan vara: mer resurser och säkrad framtid för mjölkproducenterna. Det är dock inte alltid fusionerna lever upp till förväntningarna. För att undersöka om detta är fallet analyseras förutsättningar och begränsningar vid transnationella kooperativa fusioner. Syftet med den föreliggande studien är att utifrån ett agentteoretiskt perspektiv ge en teoretisk förståelse av den transnationella fusionen mellan Arla och MD Foods.
För att genomföra analysen kommer agentteorin att användas samt allmän teori om fusioner. Empirin kommer från Arla Foods samt från intervjuer med personer som var inblandade i fusionsarbetet från Arla och MD Foods.
Studien påvisar att de begränsningar som fanns inte ansågs vara något större problem från ledningen i Arla och MD Foods. Eftersom det fanns ett gemensamt intresse för fusionen från båda parter. I Arla Foods är det ledning och styrelse som agerar agent och mjölkproducenterna principal, mellan dessa parter kan det uppstå målkonflikter. I styrelsen sitter det mjölkproducenter, vilket kan minska risken att agenten agerar för sin egen vinning.

The merger between Arla and MD Foods is "the merger that no one has tried before", was the heading on Jens Bigums president's report in the annual report year 2000. As a result of the the merger the world's largest dairy cooperatives was founded. Previously there has been no detailed analysis of the merger between Arla and MD Foods. Cross-border mergers between two companies are often hailed as a solution. Possible benefits with a merger might be more resources and a secured future for dairy farmers. However, it is not always the mergers live up to the expectations. To investigate whether this is the case in the Arla Foods-merger conditions and limitations of cross-border cooperative mergers are analyzed. The aim of the present study is from a leadership perspective provide a theoretical understanding of the merger between Arla and MD Foods.
To perform the study, the agency theory and general theory of mergers is used. The empirical data is retrieved from annual reports of Arla Foods as well as from interviews with people involved in the merger process from Arla and MD Foods. In the case of Arla Foods the management and the board are considered to be the agent and the milk producers the principal. Among these parties there may be conflicting objectives. In the company board there are milk producers involved which may reduce the risk that the agent acts for his own gain. The study shows that the restrictions were not considered to be a major problem from the management of Arla and MD Foods since it was a common interest for the merger from both parties.
